IMPORTANT: BY ACCESSING OR USING OMEGA PROTOCOL, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TandemIQ LLC ("Company," "we," "us," or "our") regarding your use of the OMEGA PROTOCOL software, website, and related services (collectively, the "Service").

By creating an account, downloading, installing, or using OMEGA PROTOCOL, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Eligibility

You must be at least 18 years old to use OMEGA PROTOCOL. By using the Service, you represent and warrant that:

You are at least 18 years of age
You have the legal capacity to enter into these Terms
You are not located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country
You are not listed on any U.S. government list of prohibited or restricted parties

3. License and Restrictions

3.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use OMEGA PROTOCOL for your personal trading analysis purposes.

3.2 License Restrictions

You agree NOT to:

Reverse engineer, decompile, disassemble, or attempt to derive source code
Modify, translate, or create derivative works
Sell, rent, lease, sublicense, or distribute the software
Remove any proprietary notices or labels
Use the Service for any illegal purpose
Share your license key with any other person
Use the Service on more devices than your license permits
Circumvent any security or authentication measures

4. Account Registration and Security

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use
Ensuring your account information is accurate and current

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscription and Payment

5.1 Billing

Subscriptions are billed in advance on a monthly or annual basis. All payments are non-refundable except as required by law or as explicitly stated in these Terms.

5.2 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. No partial refunds will be issued.

5.3 Price Changes

We reserve the right to modify subscription fees. Any price changes will take effect at the beginning of your next billing cycle after notice is provided.

6. Device Licensing Policy

OMEGA PROTOCOL uses a per-device licensing model:

Free Plan: One (1) device license (Web OR Widget OR App)
Paid Plans: One (1) device license per subscription (specific to chosen platform)
All Access: Up to three (3) device licenses (Web + Widget + App)

Each license key is tied to a specific device. Transferring licenses requires contacting support. We reserve the right to revoke licenses found to be shared or misused.

7. Intellectual Property

All content, features, and functionality of OMEGA PROTOCOL, including but not limited to software, algorithms, text, graphics, logos, and trademarks, are owned by TandemIQ LLC and protected by intellectual property laws.

You retain ownership of your trading data and journal entries. By using the Service, you grant us a limited license to process this data solely for the purpose of providing the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

OMEGA PROTOCOL is an analytical tool for educational purposes only. We do not guarantee the accuracy, completeness, or usefulness of any pattern recognition or trade signals generated by the software.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TANDEMIQ LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR TRADING LOSSES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability to you for any claim arising from or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. No Financial Advice

OMEGA PROTOCOL DOES NOT PROVIDE FINANCIAL, INVESTMENT, OR TRADING ADVICE. ALL CONTENT PROVIDED THROUGH THE SERVICE IS FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY. YOU ARE SOLELY RESPONSIBLE FOR YOUR TRADING DECISIONS.

Past performance of any trading strategy or pattern does not guarantee future results. Trading involves substantial risk of loss and is not suitable for all investors.

11. Indemnification

You agree to indemnify, defend, and hold harmless TandemIQ LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Delaware.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the Service. Continued use after changes constitutes acceptance of the revised Terms.
